Terms of Service — Professionals (Agencies and Brokers)

1. Who we are and what these terms cover
3nwan (the "Platform") is a real-estate listing marketplace operated by [OWNER: exact registered legal name + licence number — Dubai entity] ("we", "us"). These Terms of Service (the "Professional Terms") govern the use of the Platform by real-estate agencies, their owners, staff and team members, and their brokers (together, "Professionals", "you"). They apply to the agency application, the professional dashboards, listing submission and management, promotions, billing, and every other professional surface of the Platform.
By submitting an agency application, accepting a broker or team-member invitation, or using a professional dashboard, you agree to these Professional Terms and to our Privacy Policy. If you accept on behalf of an agency, you confirm that you are authorized to bind that agency.
2. The Platform's role
The Platform is an advertising and discovery marketplace. We publish property listings supplied by Professionals and connect them with prospective buyers and tenants. We are not a real-estate broker, agent, or developer; we are not a party to, and take no commission on, any sale, lease, or other transaction concluded between a Professional and a buyer or tenant; and we do not hold client money.
Verification features offered by the Platform (including document review, extraction of data from title deeds, permit checks, and cross-checks against government registry data) are operated on a reasonable-efforts basis to improve marketplace quality. They do not transfer responsibility for your listings or documents to us, and they are not a certification, valuation, or legal confirmation of any property, document, or transaction.
3. Eligibility, registration and verification
Agencies must hold and maintain a valid UAE trade licence and a valid Office Registration Number (ORN) issued by the competent authority, and must provide these credentials and supporting documents at registration. Brokers must hold and maintain a valid Broker Registration Number (BRN) and must be registered by their agency on the Platform. You must provide accurate, current, and complete information at registration and keep it updated.
Professional accounts are activated only after review and approval by the Platform. We may cross-check the credentials you provide against official registry data and may decline, or later revoke, access where credentials cannot be satisfactorily verified, where information is inaccurate, or where an application is connected to credentials that were previously removed from the Platform for cause.
You must upload renewals of your trade licence, ORN, and BRN documents before they expire. The Platform tracks credential expiry and sends reminders; expired credentials lead to escalating restrictions up to suspension of the account and its listings until valid renewals are reviewed and approved (see section 11).
4. Accounts, team access and security
You are responsible for all activity under your account. Login credentials are personal and must not be shared. Agencies are responsible for the acts and omissions of their owners, managers, staff, team members, and brokers on the Platform, including listings those users submit and declarations those users make.
Agencies control team access through the dashboard (adding brokers, assigning roles, and removing access). Removing a broker from an agency archives the broker's association; the broker's listings must be reassigned or will go offline in accordance with the Platform's lifecycle rules. You must notify us promptly of any suspected unauthorized use of your account.
5. Listings: accuracy and advertising compliance
You are solely responsible for every listing you submit, including its price, description, photographs, location, availability, and all other advertised information. Listings must be true, accurate, current, and not misleading, and must comply with all advertising requirements of the Dubai Land Department (DLD), the Real Estate Regulatory Agency (RERA), and any other competent authority, including the requirement to hold a valid advertising permit (Trakheesi) for each advertisement.
The Platform enforces permit-based publishing: a listing cannot be published without permit details, and permit data may be cross-checked (including via the permit QR code). Listings whose permits expire are subject to compliance action up to automatic suspension of the listing. Submitting each listing also requires the Listing Accuracy and Compliance Declaration and the Document Authenticity Declaration, which form part of these Professional Terms.
You must keep listings current: withdraw or update a listing promptly when the property is sold, rented, withdrawn, or its advertised terms change. The Platform may periodically require you to confirm that a listing is still available and may take listings offline where confirmation is not provided. Certain material edits to a published, verified listing may be held for review before they replace verified data.
6. Documents and authenticity
Listings and professional verification require the upload of supporting documents — including title deeds, advertising permits, owner authorizations, trade licences, ORN and BRN certificates, and identity documents. All uploaded documents must be authentic, unaltered, current, and legible, and you must be lawfully entitled to provide them. Uploading a document you are not authorized to hold, or an altered or fabricated document, is a material breach of these Professional Terms.
You must hold the property owner's consent (or an equivalent lawful mandate) to market each property you list, and must be able to produce evidence of that consent on request. Verification documents are used only for internal verification, are stored in a restricted document registry, and are never shown publicly. See the Privacy Policy for how document data is handled.
The Platform may extract data from uploaded documents (including automated reading of title deeds and permit QR codes) to pre-fill and cross-check listing data. Extracted data is an aid: you remain responsible for reviewing and confirming every value on the listing before submission.
7. Verification, moderation and Platform rights
We may review, verify, approve, reject, request corrections to, suspend, or remove any listing, document, profile, or account, at any time, where we reasonably consider it necessary for legal compliance, marketplace integrity, or the protection of users. This includes rejecting duplicate listings of the same property (the Platform blocks reuse of a title deed that is already actively listed), removing listings whose permits are invalid, expired, or reused, and acting on reports received from users.
We may suspend the visibility of an individual listing, restrict an account (no new listings or promotions), or suspend an account and its listings, in each case with or without prior notice where the circumstances reasonably require immediate action. Where practicable we will tell you the reason and what is required to restore access. Restored listings republish only once the required credentials and permits are again valid.
8. Prohibited conduct
You must not: (a) publish fake, misleading, or bait listings, or advertise a property without the owner's consent or a lawful mandate; (b) upload forged, altered, or unauthorized documents; (c) reuse or misattribute an advertising permit, or advertise beyond a permit's scope or validity; (d) list a property that is already actively listed on the Platform under another account without lawful basis; (e) misrepresent your identity, credentials, or agency affiliation; (f) manipulate Platform features, including verification, promotions, badges, or enquiry routing; (g) use buyer contact details received through the Platform for any purpose other than responding to the enquiry, or sell or share them with third parties; (h) scrape, harvest, or systematically extract Platform data, or access the Platform other than through its intended interfaces; (i) interfere with the security or operation of the Platform.
Breach of this section may result in immediate removal of content, suspension or termination of accounts, forfeiture of promotional placements, reporting to the competent authorities, and — in serious cases — permanent exclusion of the agency's or broker's credentials from the Platform.
9. Fees, wallet credits and billing
Use of professional features may be subject to fees, including a subscription charged per active broker seat and prepaid wallet credits used to pay for optional listing promotions. Current fees, credit packages, and promotion prices are shown in the dashboard before you commit to them. Where the Platform operates a free or promotional period, we may introduce or change fees with reasonable advance notice through the dashboard or by email; continued use after a change takes effect constitutes acceptance.
Wallet credits are prepaid, denominated in AED, non-transferable between agencies, and usable only for Platform services. Promotion charges are deducted from the wallet when the promotion is approved. Credits have no cash value except where a refund is required by law or expressly agreed; refunds of card purchases, where granted, are processed to the original payment method and the corresponding credits are reversed.
Subscription seats are billed for each broker who has been approved on the Platform, including brokers whose accounts are restricted or suspended for compliance reasons; removing a broker from the agency ends that seat. Invoices are tax invoices issued in accordance with UAE VAT law, are due on the date of issue, and are payable by card or bank transfer as offered in the dashboard. Card payments are processed by our payment provider; we do not store full card details. Persistent non-payment may lead to restriction or suspension of paid features or of the account.
10. Promotions and featured placements
Promotions (such as featured placement or homepage spotlight) are optional paid placements subject to availability, scheduling rules, and approval. A promotion promotes visibility only — it does not alter verification status and does not constitute endorsement. Promotions attached to a listing that is removed or suspended for a breach of these Professional Terms may be cancelled without refund of the deducted credits. Certain quality signals shown on listings (for example a price-reduction indicator) are computed by the Platform from listing data against objective criteria and cannot be purchased.
11. Restriction, suspension and termination
The Platform operates a graduated sanctions model: (a) restriction — the account keeps dashboard access but cannot create new listings or promotions; (b) suspension — for a stated category (for example expired credentials, or a compliance breach), under which the account's listings are taken offline and frozen, and dashboard access is limited to viewing the reason and uploading renewal documents; (c) archiving — the account is closed and its listings permanently taken offline; and (d) exclusion for cause — closure plus a bar on the same credentials re-registering. Suspended listings return automatically only when the causing issue is resolved and all required documents and permits are valid.
You may stop using the Platform at any time and may request closure of your account. Closure does not affect accrued payment obligations. We retain records (including consent records, audit logs, and issued invoices) after closure to the extent needed for legal, regulatory, accounting, and dispute-resolution purposes, as described in the Privacy Policy.
12. Buyer enquiries and personal data
When a buyer submits an enquiry on one of your listings, the buyer's contact details are shared with your agency for the purpose of responding to that enquiry. You must handle those details in accordance with applicable data-protection law and use them only for that purpose. Each party is responsible for its own compliance with data-protection obligations in respect of personal data it controls.
13. Content licence and intellectual property
You retain your rights in the content you submit. You grant us a non-exclusive, worldwide, royalty-free licence to host, reproduce, adapt (for example resizing and optimizing images), publish, and distribute that content on and in connection with the Platform, including in search results, alerts, and promotional surfaces, for as long as the listing or profile is on the Platform and thereafter as needed for records. You warrant that you hold the rights and consents needed to grant this licence, including for photographs. The Platform, its software, branding, and databases remain our property.
14. Disclaimers and limitation of liability
The Platform is provided on an "as is" and "as available" basis. We do not warrant uninterrupted or error-free operation, that verification will detect every defect or falsification, or any particular volume of enquiries, views, or business outcomes. Exchange-rate figures shown on the Platform are indicative display values only.
To the maximum extent permitted by law: we are not liable for indirect or consequential loss, loss of profit, business, or data; and our total aggregate liability to a Professional arising out of or in connection with the Platform in any 12-month period is limited to the fees paid by that Professional to us in that period. Nothing in these terms excludes liability that cannot be excluded under applicable law, including for fraud.
15. Indemnity
You will indemnify us against claims, losses, and reasonable costs arising from: your listings and content; your breach of these Professional Terms or of DLD/RERA or other regulatory requirements; documents you upload; your dealings with buyers, tenants, or property owners; and your misuse of personal data received through the Platform.
16. Changes to these terms
We may update these Professional Terms. Each version carries an identifier, and when the terms change materially you will be asked to review and accept the new version before continuing to use the professional dashboards. Your acceptance is recorded (including the version accepted, the time, and the network address used), as described in the Privacy Policy.
17. General, governing law and disputes
These Professional Terms are governed by the laws of the United Arab Emirates as applied in the Emirate of Dubai. The courts of Dubai have exclusive jurisdiction over any dispute arising out of or in connection with them, without prejudice to any mandatory jurisdiction of the competent regulatory authorities. If any provision is held invalid, the remainder continues in effect. A failure to enforce a provision is not a waiver. You may not assign these terms without our consent; we may assign them to a successor of the Platform business.
